ScribbleLabApp End User Agreement - Terms Of Usage & License Agreement

ScribbleLab and ScribbleLab Extensions Agreement: PLEASE SCROLL DOWN AND READ ALL OF THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BEFORE USING THE ScribbleLabApp SOFTWARE OR ScribbleLabApp SERVICES. THIS IS A LEGAL AGREEMENT BETWEEN YOU AND ScribbleLabApp LLC. IF YOU AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS, CLICK THE “AGREE” BUTTON. BY CLICKING “AGREE” OR BY DOWNLOADING, USING OR COPYING ANY PART OF THIS ScribbleLabApp SOFTWARE OR USING ANY PART OF THE ScribbleLabApp SERVICES, YOU ARE AGREEING ON YOUR OWN BEHALF AND/OR ON BEHALF OF YOUR COMPANY OR ORGANIZATION TO THE TERMS AND CONDITIONS STATED BELOW. IF YOU DO NOT OR CANNOT AGREE TO THE TERMS OF THIS AGREEMENT, YOU CANNOT USE THIS ScribbleLabApp SOFTWARE OR THE ScribbleLabApp SERVICES. DO NOT DOWNLOAD OR USE THIS ScribbleLabApp SOFTWARE OR ScribbleLabApp SERVICES IN THAT CASE.

1. LICENSE GRANT

1.1. Subject to the terms of this EULA, ScribbleLabApp hereby grants you a limited, non-exclusive, non-transferable license to use the Software solely for your personal or internal business purposes. This license includes the right to use the Software in accordance with the documentation accompanying the Software.

2. SCOPE OF LICENSE

2.1. This license allows you to use the following products and services provided by ScribbleLabApp (hereinafter collectively referred to as "Products"):

  • ScribbleLab: A comprehensive software application for digital content creation and note-taking.
  • ScribbleLink: A service facilitating seamless integration between various ScribbleLab products and school assignment planning.
  • SLUpdater: A service for automatic updates and patches for ScribbleLabApp products.
  • ScribbleLab ID: A user authentication and management system for accessing ScribbleLab services.
  • AppearanceKit: A framework for customizing the visual appearance of ScribbleLab apps.
  • SLAvatarKit: An intern framework for creating and customizing digital avatars within the ScribbleLab ecosystem.

3. INTELLECTUAL PROPERTY RIGHTS

3.1. The Software is owned by ScribbleLabApp and is protected by copyright laws and international treaty provisions. ScribbleLabApp retains all rights not expressly granted to you in this EULA. The structure, organization, and code of the Software are valuable trade secrets and confidential information of ScribbleLabApp.

4. RESTRICTIONS

4.1. You may not reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law. You may not sublicense, rent, lease, lend, or transfer the Software or any rights granted under this EULA. You may not remove or alter any trademark, logo, copyright, or other proprietary notices, legends, symbols, or labels in the Software. You may not modify, adapt, translate, or create derivative works based upon the Software.

5. TERMINATION

5.1. This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from ScribbleLabApp if you fail to comply with any term(s) of this EULA. Upon termination of this EULA, you shall cease all use of the Software and destroy all copies of the Software in your possession or control.

6. DISCLAIMER OF WARRANTIES

6.1. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCRIBBLELABAPP DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS. SCRIBBLELABAPP DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

7. LIMITATION OF LIABILITY

7.1. IN NO EVENT SHALL SCRIBBLELABAPP BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF SCRIBBLELABAPP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SCRIBBLELABAPP'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES (OTHER THAN AS MAY BE REQUIRED BY APPLICABLE LAW) EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.

8. GOVERNING LAW.

8.1. This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which ScribbleLabApp is domiciled, without regard to conflicts of law principles.

9. ENTIRE AGREEMENT.

9.1. This EULA constitutes the entire agreement between you and ScribbleLabApp with respect to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this EULA will be binding unless in writing and signed by ScribbleLabApp.

11. ADDITIONAL TERMS.

11.1. ScribbleLabApp offers a Premium subscription service for enhanced features and functionality within the Software. Access to Premium features is subject toseparate terms and conditions. 11.2. ScribbleLabApp operates a Developer Program allowing developers to create and upload extensions for review. Participation in the Developer Program is subject to separate terms and conditions. 11.3. The Software may utilize ScribbleLab's authentication service for user authentication and management. Use of the authentication service is subject to separate terms and conditions. 11.4. From time to time, ScribbleLabApp may offer alpha, beta, or nightly testing versions of the Software for evaluation purposes. Use of such versions is subject to additional terms and conditions.

12. APACHE 2.0 LICENSE.

12.1. Additionally, portions of the Software may be subject to the Apache 2.0 License. You may obtain a copy of the Apache 2.0 License.

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS EULA, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.

APPENDIX: DEFINITIONS

The following definitions apply to this End User License Agreement:

  • "Software" refers to the products and services provided by ScribbleLabApp as listed in Section 2 (Scope of License).
  • "ScribbleLabApp" refers to the company providing the Software.
  • "Products" collectively refer to the individual software products and services provided by ScribbleLabApp.
